Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On August 7, 2019, FARO Technologies, Inc. (the “Company”) decided to eliminate the role of Chief Operating Officer, effective immediately. As a result, the employment of the Company’s Chief Operating Officer, Kathleen J. Hall, was terminated effective August 7, 2019. Ms. Hall’s separation from the Company constitutes a termination without “cause” within the meaning of that certain Amended and Restated Employment Agreement, dated as of April 27, 2016, between the Company and Ms. Hall filed as Exhibit 10.1 to the Company’s Current Report on Form 8-K filed April 29, 2016.
